Terms and Conditions for UAS Mission Portal (UASMP)

These Terms and Conditions (the "Agreement") govern access to and use of the UAS Mission Portal ("UASMP," "Service," "we," "our," or "us"). UASMP is a business-to-business, multi-tenant Software-as-a-Service (SaaS) platform that helps organizations manage Unmanned Aircraft Systems (UAS) operations through project setup and scheduling, asset imports (KMZ/KML/CSV), pilot and equipment assignments, preflight checklists, tailboard risk assessments, field audits, recurring mission scheduling with notifications, basic ADS-B visibility, and integrations with services like Skydio and AirData. UASMP does not provide large deliverables storage, is not a substitute for regulatory approvals (such as see-and-avoid requirements or NOTAM checks), and is not designed for Department of Defense, Drone-as-First-Responder (DFR), life-critical or mission-critical use cases.

By accessing or using UASMP, you agree to be bound by this Agreement, including any policies referenced herein (e.g., our Privacy Policy and Data Processing Addendum). If you do not agree to these terms, do not access or use the Service.

1. Eligibility and Authorized Users

Authorized Users. You represent that you are authorized to enter into this Agreement on behalf of your organization and that you will only permit access to the Service by authorized employees, agents, or contractors acting for your business purposes. Accounts and seats are controlled by an administrator designated by your organization. You may not share credentials or allow any third party to access the Service using your login.

Age and Capacity. Users must be at least the age of majority in their jurisdiction and possess the legal authority to form a binding contract.

Compliance with Laws. You and your organization remain solely responsible for compliance with all applicable regulations, including Federal Aviation Administration (FAA) regulations, state or local rules, and any obligations imposed by your utility or other partners. UASMP does not provide regulatory approval, see-and-avoid functionality, or automated airspace or NOTAM checks.

2. Account Registration and Security

Registration. To access certain features, you must register for an account. You agree to provide accurate, current, and complete information and to keep your credentials confidential. You are responsible for maintaining account security.

Admin Control. Your organization's administrator controls seat assignments and may reassign or terminate user accounts at any time.

Suspension or Termination. We may suspend or terminate any account for misuse, fraudulent activity, violation of this Agreement, or any other reason, in our sole discretion.

3. Service Scope and Third-Party Integrations

Service Description. UASMP provides tools to manage UAS operations. The Service may integrate with third-party data or services, including Skydio, AirData, ADS-B data feeds, mapping layers, or other platforms.

Third-Party Services and Data. We do not control and are not responsible for third-party services or data. You must review third-party terms and we are not responsible for their content or availability. UASMP does not guarantee the accuracy, completeness, timeliness, or continued availability of any third-party service or data, and such resources may change or be discontinued without notice.

No Deliverables Storage. UASMP is not intended for large deliverables storage or as a content repository.

4. Acceptable Use and Prohibited Activities

You agree to use the Service only for lawful business purposes related to UAS operations. You must not:

  • Use the Service for any illegal or unauthorized purpose, including scraping, data extraction, reverse engineering, security testing without written consent, or weaponization, Department of Defense or Drone-as-First-Responder applications;
  • Violate any intellectual property or privacy rights;
  • Upload or transmit malicious code;
  • Advocate violence, discriminatory, abusive, pornographic, or offensive content;
  • Use the Service to send spam, junk mail, or chain letters;
  • Engage in any activity that could damage, disable, overburden, or impair the Service.

We reserve the right to investigate and take appropriate action, including suspension or termination of accounts.

5. User Content and Data Ownership

Ownership. As between you and UASMP, you retain ownership of all content, data, and materials you upload or create ("Customer Content").

License to Operate. You grant UASMP a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, and display Customer Content solely to operate, maintain, improve, and provide the Service.

Feedback. If you provide suggestions, comments, or feedback, you grant UASMP a perpetual, irrevocable, royalty-free license to use and incorporate that feedback into the Service without obligation.

Data Processing and Transfer. We act as a service provider for personal information subject to the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA). We will process personal information in accordance with our Privacy Policy and Data Processing Addendum.

6. Privacy and California Rights

Notice of Privacy Rights. The CCPA and CPRA give California consumers rights to know, delete, correct, and limit use of their personal information, and to opt out of the sale or sharing of personal information. UASMP respects these rights and will honor verifiable requests from individual users to access, delete, correct, or limit use of personal data, subject to legal exceptions.

Opt-Out of Sale/Sharing. UASMP does not sell personal information but will provide a clear opt-out mechanism if our practices change.

Sensitive Information. Users may direct us to limit the use and disclosure of sensitive personal information (e.g., geolocation, biometric data) to what is necessary to provide the Service.

Non-Discrimination. UASMP will not discriminate against users for exercising their CCPA/CPRA rights.

Data Transfers and DPA. For data from the European Economic Area or United Kingdom, we will enter into Standard Contractual Clauses and maintain a Data Processing Agreement.

7. Payment Terms and Auto-Renewal Law Compliance

Subscription Plans. UASMP is offered on monthly or annual subscription plans with a 7-day free trial. Payment processing is handled by Stripe. Fees are billed in advance and will auto-renew unless cancelled. Prices are subject to change upon prior notice.

Auto-Renewal Disclosures. Under the California Automatic Renewal Law (CARL) amendments effective July 1, 2025, businesses must obtain express affirmative consent to auto-renewal terms and keep consent records. UASMP will:

  • Present clear and conspicuous renewal terms before collecting billing information;
  • Obtain your express affirmative consent via a separate opt-in (e.g., a checkbox) that discloses the amount, frequency, and cancellation mechanism;
  • Allow you to cancel subscriptions using the same medium used to enroll (e.g., in-app cancellation);
  • Provide a prominent "Click to Cancel" option alongside any retention offers during the cancellation process;
  • Send advance notices of changes to auto-renewal plans at least seven and no more than thirty days before the change takes effect, and send annual reminders of subscription terms, charges, and cancellation mechanisms.

Cancellation and Refunds. You may cancel at any time via your account settings. Cancellation will take effect at the end of the current billing cycle. Subscription fees are non-refundable after the trial period, except where required by law or explicitly stated in our refund policy.

Proration. If you add seats mid-term, charges will be prorated for the remainder of the billing period.

8. Availability, Updates, and Beta Features

Service Level. UASMP will use commercially reasonable efforts to provide uptime and availability but does not guarantee uninterrupted service. We may conduct planned maintenance during off-peak hours and will use reasonable efforts to provide advance notice.

Beta Features. We may offer beta or experimental features on an "as is" basis without warranties. These features may be changed or discontinued at any time.

Modifications and Interruptions. We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We are not liable for any loss arising from such modifications or service interruptions.

9. Intellectual Property

Ownership. All software, content, and materials provided by UASMP are owned by us or our licensors and protected by copyright and trademark laws.

License. We grant you a limited, non-exclusive, non-transferable license to use the Service solely for your internal business purposes. You may not reverse engineer, decompile, or attempt to discover the source code.

10. Warranties and Disclaimers

"As Is / As Available." The Service, including beta features and third-party integrations, is provided "as is" and "as available." We make no warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted or error-free. We expressly disclaim any warranty that the Service will meet regulatory requirements or be sufficient for see-and-avoid, NOTAM checks, or life-critical applications.

Third-Party Disclaimer. We are not responsible for the accuracy or availability of third-party services or data.

No Regulatory Advice. UASMP provides operational tools but does not constitute legal, aviation, or regulatory advice. You remain responsible for compliance with applicable laws.

11. Limitation of Liability

To the maximum extent permitted by law:

No Consequential Damages. UASMP and its affiliates will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits or revenues arising from your use of the Service.

Liability Cap. Our total liability under this Agreement will not exceed the greater of (a) the fees paid by you to UASMP during the twelve (12) months preceding the event giving rise to the claim or (b) one hundred dollars ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless UASMP and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of this Agreement; (b) your violation of any law or the rights of a third party; or (c) your misuse of the Service, including any User Content that infringes intellectual property rights.

13. Export Controls and Sanctions

You may not use or access the Service in violation of U.S. export control laws, sanctions, or embargoes. You represent and warrant that you are not located in, or a citizen or resident of, a country that is subject to U.S. embargo, and that you are not on any U.S. government list of prohibited or restricted parties.

14. Accessibility Commitment

UASMP is committed to making the Service accessible and usable in accordance with the Web Content Accessibility Guidelines (WCAG) 2.1 AA. We will use commercially reasonable efforts to design and maintain the Service to be accessible to individuals with disabilities. If you have feedback on accessibility, please contact us.

15. California Civil Code § 1542 Waiver

You acknowledge and agree that you have read and understand Section 1542 of the California Civil Code, which provides that a general release does not extend to claims that the releasing party does not know or suspect to exist in their favor at the time of executing the release and that, if known, would have materially affected their settlement. You expressly waive and relinquish all rights and benefits under Section 1542 and any law of any jurisdiction of similar effect with respect to the releases granted in this Agreement.

16. California Civil Code § 1789.3 Consumer Notice

Under California Civil Code Section 1789.3, users of electronic commercial services are entitled to the following specific consumer rights notice:

17. Governing Law and Venue

This Agreement is governed by the laws of the State of California without regard to conflict of law principles. Any dispute arising out of or relating to this Agreement shall be resolved exclusively in the state or federal courts located in California, and you consent to personal jurisdiction in those courts.

18. Dispute Resolution and Arbitration; Class-Action and Jury-Trial Waiver

Good Faith Negotiations. You agree to first attempt to resolve any dispute informally by contacting us and allowing us a reasonable opportunity to address the issue.

Binding Arbitration. If the dispute is not resolved informally, it shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) or JAMS in California. The arbitration may be conducted remotely via teleconference or videoconference. The arbitrator's decision will be final and binding, and judgment may be entered in any court of competent jurisdiction.

Class-Action Waiver. You agree that any arbitration or court proceeding shall be conducted only on an individual basis and not as a class action or representative action.

Jury-Trial Waiver. You knowingly and irrevocably waive any right to a jury trial in any legal proceeding arising out of or relating to this Agreement.

Court Carve-Out. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property rights or address security breaches.

19. Changes to this Agreement

We may update or modify this Agreement from time to time. We will provide notice of material changes by email or through in-app notifications. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Agreement. If you do not agree to the changes, you must stop using the Service.

21. Entire Agreement and Severability

This Agreement constitutes the entire agreement between you and UASMP regarding the Service and supersedes all prior agreements. If any provision of this Agreement is held unenforceable, the remaining provisions will remain in full force and effect.
